Ellisons Advises B&D Plastics on Strategic Sale to Flowmax Limited

Ellisons has supported the shareholders of B&D Plastics, a leading supplier of pipework systems, in completing its sale to Flowmax Limited. This strategically significant transaction ensures B&D Plastics is well-positioned to capitalise on new growth opportunities while benefiting from Flowmax’s extensive expertise in fluid management solutions.

The deal enables two of B&D Plastics’ shareholders to retire, while the remaining two will continue to lead the business day-to-day under Flowmax’s ownership. This structure allows continuity in operations while leveraging Flowmax’s investment and industry expertise.

B&D Plastics, which operates from Walsall and Colchester, has been a trusted name in the pipework systems industry for over 25 years. Known for connecting installers, contractors, and engineers with market-leading solutions, B&D Plastics prides itself on its customer-focused approach and technical expertise.

Flowmax Limited, based in Coventry, has a proven track record of acquiring and growing entrepreneurial businesses. With 15 companies in its portfolio and a combined turnover of over £60m, Flowmax focuses on medium-technology fluid management and control products, serving sectors such as renewables, pharmaceuticals, and technical products. The acquisition of B&D Plastics strengthens Flowmax’s position in these key markets and provides a solid foundation for further growth.

Ellisons, under the leadership of Paul Forsyth with support from Alfie Rowland and Abigial Williamson (Corporate and Commercial), as well as Rosanna Sayers (Commercial Property) and Tina Maxey (Employment) acted as sell-side legal advisors to the shareholders of B&D Plastics. Corporate Finance advice was provided by Simon Martin and his team at Ensors.

Dave Arnold, a shareholder of B&D Plastics, said:
“We didn’t realise what a task awaited us at the outset, but the advice and guidance we received to get us through the legal process was exceptional. This deal represents an exciting new chapter for B&D Plastics. The support we’ve received throughout the process has been invaluable, and I’m confident that, with Flowmax’s backing, the business is poised for continued success. Our thanks go to Ellisons for their dedication and expertise in bringing this transaction to a successful conclusion under a challenging timeframe.”

Paul Forsyth, Partner and Head of Corporate and Commercial at Ellisons Solicitors, commented:
“We are delighted to have supported the shareholders of B&D Plastics on this strategically important transaction. This deal highlights our expertise in navigating complex transactions and delivering tailored advice that helps our clients achieve their objectives. We wish B&D Plastics and Flowmax every success in this next phase of growth. Whilst these types of transactions are complex, Dave, Dave, Helen and Mitch were great to work with.”
