Ellisons advises on demerger and MBO of DAC Group companies

Ellisons has advised on the successful demerger of D A C Group Limited, completed in advance of the Management Buy-Out of its two Colchester-based businesses, D.A. Cant Ltd and DAC Contracting Limited.

Acting for the sellers, Craig Peterson and Karl Lord, Ellisons managed a detailed restructuring process to separate the different business streams within the DAC group, ensuring each division transferred smoothly as part of the subsequent transactions.

The Ellisons team was led by Paul Forsyth (Partner and Head of Corporate and Commercial), supported by Abigail Williamson (Associate). Throughout the project, the team worked closely with Mark Brooks, Hayley Sheppard and Jess Allen at Rickard Luckin.

Paul Forsyth commented: “This transaction highlights the level of planning and precision that is often needed when separating long standing group structures ahead of a sale. It has been a privilege to support Karl and Craig throughout this process and to collaborate closely with the Rickard Luckin team to deliver a result that positions all parties for the next stage of their growth.”

Craig Peterson added: “The demerger and MBO represent a new chapter for the businesses, and we are proud of what has been achieved. Both Ellisons and Rickard Luckin played a central role in guiding us through a complex process with clarity and professionalism, and we are very grateful for their support throughout.”
